Terms and Conditions of Sale

1. General

1.1 www.truly.co.nz is owned and operated by It's All About Me Limited (we, us, our). By listing on this site your company (you) agree to be bound by these terms and conditions.

1.2 These terms and conditions may be amended in whole or in part by us from time to time without notification. Amendments will be effective immediately upon posting on the web site. Your continued use of the services represents your agreement to be bound by the terms and conditions as amended.

1.3 Terminology:
'you' means your company and products represented by your company
'Advertisement', 'listing', refers to any content published on the It's All About Me web site advertising the goods or services of a third party
'User', 'member', refers to any person who uses the website

1.4 The advertiser by submitting or authorising submission of material for publication indemnifies us from and against any proceedings, demands, costs, expenses, damages, penalties, judgements and liabilities of any nature taken, made, or awarded against or incurred by It's All About Me Limited arising out of or in connection with the advertisement and warrants and declares that nothing in the advertisement infringes the rights of any person or is in breach of the provisions of any statutes and its acceptance, use or publication will not give rise to any claims against or liabilities for It's All About Me Ltd.

1.5 System Integrity: We will make the best possible efforts to ensure the availability of the web site and services. However we take no responsibility for any system unavailability, or for any loss that is incurred as a result of web site or services being unavailable. It's All About Me Ltd assumes no responsibility for the corruption of any data or information held by us.

1.6 Governing Law: These terms and conditions are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the Courts of New Zealand.

1.7 Copyright: Product information remains the property of the product owner however by displaying this information on the website you are authorising the downloading and use of this information for individual use by the user.

2. Display Information

2.1 It's All About Me Limited reserves the right to refuse any listing, advertisement or any other material considered unsuitable for the website at our discretion.

2.2 You will make sure all information you provide to us is complete, accurate, current and not misleading, and is promptly updated as needed. And that all pricing is in New Zealand currency and states whether GST is inclusive or exclusive.

2.3 In listing your products on the website, we will not be involved in any dealings resulting from use of the site. You must communicate and deal with all users directly to complete transactions or resolve any problems arising from them. You have sole responsibility for any risks associated with your dealings with users of the site.

2.4 We reserve the right to alter edit the information supplied and or to change the format without prior notice.

2.5 We will not be responsible for any loss or damage sustained by the advertiser for the advertisement failing to appear when instructed by the advertiser, or appearance in form different from that instructed by the advertiser

2.6 If the creative is delivered after the agreed delivery date, we may charge the advertiser a late delivery fee.

2.7 At its sole discretion we may use previous material if new creative is not supplied by deadline.

2.8 All advertising materials will be stored at the advertiser's risk. We will not retain material for longer than six months after last date of use.

3. Security: You are responsible for keeping your login information, including your password, secret and secure. You agree not to permit any other person to use your user name or registration; and not to disclose, or provide to any other person, your password, or any information that may allow them to gain access to your registration.

4. Licence: You grant us the right and license to organise, reproduce, transmit, publicly display, distribute and otherwise use the product information (including trade marks, logos, slogans, trade names, web links and any other forms of branding) delivered by you to us in connection with this agreement for use on the site or for promoting the site and/or the services.

5. Proprietary Technology: You agree that we are the exclusive owner of the proprietary technology, including any and all intellectual property or proprietary rights in it. We do not grant you any right or license in the proprietary technology.

6. Fees/Rates and Cancellations

6.1 Quoted rates are subject to variation on 30 days notice.

6.2 All rates are quoted in New Zealand dollars, plus GST unless indicated otherwise.

6.3 Payment terms are 7 days following date of invoice.

6.4 Advertising booked may be cancelled without penalty if the cancellation is made at least 21 days prior to the scheduled campaign date. Cancellation after this date means the advertiser will be liable to pay for the space booked.

7. Market Reporting/Privacy

7.1 We reserve the right at any time to report advertising figures for market research purposes.
